Andrew Doup, Esq.
Founder, SyndicationCounsel LLC
Andrew Doup is the founder of SyndicationCounsel LLC, a boutique law firm dedicated to lowering barriers to capital formation for next-generation entreprenuers. By identifying and navigating the risks of partnership uncertainty, SyndicationCounsel helps clients create investment partnerships that are greater than the sum of their individual parts.
Professional Background
Over the past 17 years, Andrew has guided high-stakes decision-makers -company founders, real estate developers, fund managers, private investors- through the maze of corporate, tax, and securities regulation to optimize value. His work spans limited liability companies, limited partnerships, private-placement memoranda, subscription agreements, and SEC and state “blue-sky” filings across a wide range of industries and asset classes.
In 2018, sensing the promise of the newly enacted Opportunity Zone program, Andrew built a cross-disciplinary practice to channel private equity into the communities that need it most. Since then, he has advised on more than $2 billion in Opportunity Zone investments and has been recognized by a leading industry trade group as a national Top 25 attorney in the field.
Practice Philosophy
A national award-winning attorney and decorated combat veteran, Andrew combines battlefield-tested decisiveness with a meticulous, problem-solving mindset. Formerly a partner at a full-service corporate firm, he excels at spotting generational shifts in the law, then rallying diverse stakeholders to turn new legal frameworks into competitive advantage. Clients value his ability to translate complex regulations into clear action plans that let them move forward with confidence.
Andrew is also committed to democratizing legal knowlege. He writes and speaks frequently on business, investment, and tax topics for both local and national audiences, making sophisticated concepts accessible to founders, investors, and community leaders alike.
Military Service
Before entering private practice, Andrew served as a U.S. Special Operations intelligence officer supporting humanitarian, hostage rescue, and counter-terrorism missions worldwide. He earned the Bronze Star for exceptionally meritorious achievement as Director of Intelligence for a special mission unit in Afghanistan. Today, he continues to serve part-time as a Lieutenant Colonel in the Ohio National Guard.
Life Beyond the Office
Away from the deal table, Andrew and his wife are raising four young children. Whether camping, traveling, or coaching youth sports, he reinforces the values that shape both his personal and professional life: integrity, teamwork, and excellence
